N-SIDE Customer Referral Program - Terms and Conditions

N-SIDE ("N-SIDE" or “We”) offers it’s current clients and satisfied users (“Referrer” or “You”) the opportunity to participate in its referral program (the “Program”). We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered solely by N-SIDE.

Referrers are bound by these Terms and Conditions by participating in the Program. By participating in the Program, Referrers agree to use the Program in the manner specified in these Terms and Conditions or as otherwise agreed to with N-SIDE in writing. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Referrer or to participate in the Program in any other manner. Referrers may not participate in the Program where doing so would be prohibited by any applicable law or regulations or any of their internal policies, codes or other company regulation(s).

We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which rewards are earned. We reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if the Referrer does not comply with any of these Terms and Conditions or otherwise fails to comply with any applicable laws.

1. How the Program Works.

Using the Program landing page, you can follow the on-screen instructions to register your company as a participant Referrer in the Program. By doing so, the Referrer will be able to benefit from the rewards of the Program when referring the N-SIDE products and services to other, potential customers (the “Potential Customer”). Once the referral is made, the Referrer will be provided with the reward of this Program.

2. Eligibility.

This Program is only open to Referrers that qualify as business entities; no award or benefit of any kind will be awarded to individuals of the Referrer participating in the Program. The individual signing up his/her company in the Program as a Referrer expressly acknowledges that he/she has full authority to do so and is aware that no benefit of any kind will be granted to him/her but rather to the Referrer entering into this Program.

3. Restrictions.

Referrers cannot refer themselves or create multiple, fictitious or fake accounts. No user or Referrer may use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Program.

4. Rewards.

In order to qualify as a valid “Potential Customer”, the Potential Customer You are referring through this Program must not be an existing customer of N-SIDE and must be a first-time customer as a result of your referral. These rewards may be redeemed in various forms in the Company's sole discretion. Rewards are subject to verification. N-SIDE may delay a reward for the purposes of investigation. Unless otherwise agreed with N-SIDE, rewards have no monetary value and may not be redeemed for cash. They are not transferable and may not be auctioned, traded or sold. Potential rewards may be training and coaching days, user upgrade for a limited time, limited discount on licenses, lunch & learns or other B2B rewards that may be agreed upon with N-SIDE in writing. The agreed reward(s) are meant to be a beneficial company benefit which will increase collaboration, knowledge and potential usage of the current N-SIDE tools.

5. Liability.

YOU UNDERSTAND AND AGREE THAT THE INDEMNIFIED PARTIES (DEFINED BELOW) SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, ACTUAL, CONSEQUENTIAL, ECONOMIC, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL) ARISING IN CONNECTION WITH YOUR PARTICIPATION IN THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF THE SAME. By participating in the Program, you agree to indemnify, defend, and hold harmless N-SIDE and Affiliates(the “Indemnified Parties”) from and against any and all Liabilities incurred in connection with (i) your breach or violation of this Agreement; (ii) your violation of any law, or the rights of any third party and (ii) any content submitted by You or using your participation to the Program, including, but not limited to the extent such content may infringe on the intellectual rights of a third party or
otherwise be illegal or unlawful. TO THE FULLEST EXTENT POSSIBLE BY LAW, THE INDEMNIFIED PARTIES’ MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL BE €100.00.

6. Disclaimer of Warranties.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OR CONDITIONS OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. N-SIDE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDED THROUGH THE PLATFORM OR THE CONTENT OF ANY SITES LINKED TO THE PLATFORM AND ASSUMES NO LIABILITY OR RESPONSIBILITY IN CONTRACT, WARRANTY OR IN TORT FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM, (III) EVENTS BEYOND OUR REASONABLE CONTROL.

7. Other.

By submitting any email address or contact as part of the Program, the Referrer represents that he/she has the appropriate permission and consent to do so.

8. Right to Cancel, Modify or Terminate.

We reserve the right to cancel, modify or terminate the Program at any time for any reason. We reserve the right to disqualify any participant or Referrer at any time from participation in the Program if we have a good faith belief that he/she has violated any of these Terms.

These Program Terms and Conditions constitute the entire agreement between Referrer and N-SIDE concerning Referrer’s participation and/or use of the Program.

The failure of N-SIDE to exercise or enforce any right or provision of these Program Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of these Program Terms and Conditions is found by a court of competent
jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Program Terms and Conditions remain in full force and
effect. The section titles in these Program Terms and Conditions are for convenience only and have no legal or contractual effect.
